Service Delivery
Services are performed according to the milestones, scope, and timelines outlined in the Agreement. We apply reasonable professional standards and commercially appropriate efforts when delivering services.
Project timelines depend on timely cooperation, approvals, and provision of required materials by the client.
Proposals and Scope of Work
Service proposals remain valid for thirty (30) calendar days unless otherwise specified. If not accepted within this period, they may be revised.
Work outside the agreed scope must be approved in writing before proceeding.
Fees, Costs, and Taxes
Unless otherwise agreed:
- Third-party expenses are billed separately
- Approved operational expenses may be charged at cost
- Clients are responsible for applicable taxes associated with services
Payment Terms
Invoices are due within five (5) days unless otherwise agreed in writing. Billing may follow milestone-based schedules as defined in the Agreement.
Late payments may affect service delivery timelines.
Changes to Scope
All requests for changes must be submitted in written form.
Minor modifications that do not significantly affect pricing or timelines may be implemented without formal contract amendment. Major changes require a revised or supplemental Agreement.
Updated proposals should be accepted within fourteen (14) working days.
Delays and Force Majeure
If delays occur due to missing client input, approvals, or required materials, delivery timelines will be extended accordingly.
Events beyond reasonable operational control may also justify schedule adjustments without constituting breach.
Evaluation and Acceptance
Deliverables are internally reviewed prior to submission.
Clients have seven (7) working days to review completed work and request revisions within scope. If no feedback is received during this period, deliverables may be considered accepted.
Client Responsibilities
Clients agree to:
- Provide accurate and lawful information
- Ensure supplied materials do not infringe third-party rights
- Provide timely approvals and communication
- Review deliverables for completeness and accuracy
Unless otherwise agreed, final verification remains the client’s responsibility.
Attribution and Portfolio Use
bpoukraine.com may reference completed projects in its portfolio or marketing materials unless otherwise agreed in writing.
Confidentiality
Both parties agree to maintain the confidentiality of non-public information shared during the engagement.
This obligation does not apply to information that is publicly available or lawfully obtained from independent sources.
Independent Contractor Relationship
bpoukraine.com operates as an independent service provider. Nothing in these Terms establishes employment, partnership, or joint venture status.
We may engage subcontractors where appropriate while maintaining responsibility for service delivery.
Limitation of Liability
To the extent permitted by applicable law, services are provided without guarantees beyond those expressly agreed. Liability is limited to the amount paid for the services giving rise to the claim.
Intellectual Property and Usage Rights
Upon full payment, the client receives a non-exclusive, perpetual license to use the final deliverables as agreed.
All Company Tools and internal operational systems remain the property of bpoukraine.com unless otherwise transferred in writing.
Support Services
Ongoing support is provided only if separately agreed. Such services may be billed independently. Any warranty may not apply if deliverables are modified without authorization.
Updates to These Terms
We may revise these Terms periodically. The version published on bpoukraine.com at the time of use applies. Continued use of the website indicates acceptance of any changes.
